These Terms and Conditions govern your access to and use of Korla, the Business Operating System available through korla.co, including our website, dashboard, workspace tools, onboarding flows, integrations, automations, and related services. By accessing or using Korla, you agree to these Terms. If you do not agree, you should not use Korla.

Early Access & Founding User Notice

Korla is currently in an early access launch phase. Founding users and early access members acknowledge that the platform is actively being developed. Features, functionality, pricing, availability, and terms may change as the product evolves. Korla reserves the right to modify or discontinue features during this period without liability.

By participating as a founding user or early access member, you acknowledge that you are using a platform that is actively being built and improved, and that your continued use constitutes acceptance of any updates made during this phase.

1. Agreement to Terms

By creating an account, accessing the website, logging into the platform, using a workspace, submitting information, or otherwise using Korla, you agree to be bound by these Terms and our Privacy Policy.

These Terms apply to all visitors, users, account holders, team members, administrators, and others who access or use Korla.

2. About Korla

Korla is a Business Operating System designed to help users organize business operations, manage dashboards, track KPIs, monitor tasks, coordinate projects, and support operational visibility within a workspace.

Korla may include features such as dashboards, onboarding questions, KPI tracking, workspace content, task tools, automation features, operational intelligence, integrations, account settings, and related business management tools.

3. Eligibility

Korla is intended for business and professional use. By using Korla, you represent that you are at least 18 years old or the age of majority in your jurisdiction and have the authority to enter into these Terms on behalf of yourself or the business you represent.

If you are using Korla on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. Accounts and Workspace Access

To access certain features, you may be required to create an account, complete onboarding, verify your email, or join a workspace. You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account or workspace access.

If you believe your account has been accessed without authorization, you should notify Korla promptly at support@korla.co.

5. User Content and Workspace Data

You may submit, upload, enter, connect, or store business information, tasks, KPIs, notes, files, client details, team information, project information, invoices, expenses, and other content within Korla.

You retain ownership of the content you submit to Korla. By using the platform, you grant Korla a limited right to host, store, process, display, transmit, and use your content only as needed to provide, maintain, secure, and improve the service.

You are responsible for ensuring that you have the necessary rights, permissions, and authority to submit or process any content through Korla.

Data backup responsibility

Korla is not responsible for loss of data resulting from technical failures, user error, account termination, or circumstances beyond our reasonable control. You are responsible for maintaining independent backups of any critical business data stored within your Korla workspace. We recommend exporting important data regularly.

Workspace administrator responsibility

The individual or entity that creates a Korla workspace is the workspace administrator and is responsible for managing user access, configuring permissions, inviting team members or clients, and ensuring that all workspace users comply with these Terms. Korla is not responsible for actions taken by workspace members under permissions granted by the administrator.

6. Subscriptions, Billing, and Payments

Korla may offer free, paid, trial, subscription, or premium features. Pricing, billing cycles, plan limits, and available features may be displayed at the time of purchase or within your account.

If you purchase a paid service, you authorize Korla or its payment processor to charge the payment method you provide for applicable fees, taxes, renewals, and other charges associated with your account.

Unless otherwise stated, subscription fees are billed in advance and may automatically renew until canceled. You are responsible for canceling your subscription before renewal if you do not want to be charged for the next billing period.

Refund policy

All fees paid to Korla are non-refundable unless otherwise required by applicable law. If you cancel a paid subscription, you will retain access to paid features until the end of your current billing period. No prorated refunds will be issued for unused portions of a subscription period. If you believe a charge was made in error, contact us within 30 days at support@korla.co.

Free tier limitations

Free tier access is provided as-is with no uptime guarantees, support commitments, or service level agreements. Korla reserves the right to modify, limit, or discontinue free tier features at any time. Free tier users acknowledge that certain features, storage limits, and capabilities may differ from paid plans.

7. Acceptable Use

You agree not to use Korla to:

  • Violate any applicable law, regulation, contract, or third-party right
  • Upload or transmit malware, viruses, harmful code, or disruptive content
  • Attempt to gain unauthorized access to Korla, user accounts, systems, or networks
  • Interfere with the security, performance, or availability of the platform
  • Reverse engineer, copy, resell, or exploit Korla without authorization
  • Use Korla to store or process information you do not have permission to use
  • Misrepresent your identity, business, authority, or affiliation
  • Use Korla for fraudulent, abusive, harmful, or unlawful purposes

8. Integrations and Third-Party Services

Korla may allow you to connect third-party tools, applications, platforms, websites, or services. Your use of those third-party services may be governed by their own terms and privacy policies.

Korla is not responsible for third-party services, their availability, their security, or the way they handle your information. You are responsible for reviewing and managing any permissions you grant to third-party services.

9. AI, Automation, and Operational Intelligence

Korla may provide dashboards, summaries, recommendations, workflows, automations, task suggestions, KPI displays, or other operational intelligence features based on your account settings, workspace content, onboarding responses, and connected business information.

These features are provided to support business organization and decision-making, but they should not be treated as legal, financial, tax, accounting, employment, or professional advice. You are responsible for reviewing outputs, recommendations, and automated actions before relying on them.

10. Intellectual Property

Korla, including its name, branding, interface, design, layout, software, workflows, features, graphics, icons, text, and other platform materials, is owned by Elite Business Operations LLC or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on Korla unless you have written permission from us.

11. Security Responsibilities

We use commercially reasonable safeguards to help protect Korla, but you are responsible for maintaining secure account practices, including using strong passwords, limiting user permissions, reviewing team access, and promptly reporting suspected unauthorized access.

You agree not to attempt to bypass, disable, interfere with, or test the vulnerability of Korla's systems without written authorization.

12. Suspension and Termination

We may suspend or terminate access to Korla if we believe you have violated these Terms, created risk for Korla or other users, failed to pay applicable fees, misused the platform, or used Korla in a way that may cause legal, security, or operational harm.

You may stop using Korla at any time. Certain provisions of these Terms, including ownership, payment obligations, disclaimers, limitations of liability, and dispute-related provisions, may survive termination.

13. Disclaimers

Korla is provided on an "as is" and "as available" basis. We do not guarantee that Korla will be uninterrupted, error-free, secure, or available at all times.

We do not guarantee that dashboards, KPIs, automations, recommendations, or operational outputs will be accurate, complete, current, or suitable for your specific business needs.

Korla does not provide legal, financial, tax, accounting, employment, compliance, or professional advice. You should consult qualified professionals before making decisions that require professional guidance.

14. Limitation of Liability

To the maximum extent permitted by law, Korla, Elite Business Operations LLC, and their owners, officers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, loss of data, or loss of goodwill.

To the maximum extent permitted by law, our total liability for any claim related to Korla or these Terms will not exceed the amount you paid to Korla for the service during the three months before the claim arose, or one hundred dollars if no payment was made.

15. Indemnification

You agree to defend, indemnify, and hold harmless Korla, Elite Business Operations LLC, and their owners, officers, employees, contractors, service providers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising from your use of Korla, your workspace content, your violation of these Terms, your violation of any law or third-party right, or your misuse of the platform.

16. Changes to Korla or These Terms

We may update, modify, suspend, or discontinue Korla or any part of the service at any time. We may also update these Terms from time to time to reflect changes to our services, business practices, legal requirements, or platform functionality.

If we make material changes, we may provide notice by updating the "Last updated" date, posting a notice on the website or platform, or contacting you through the email associated with your account. Your continued use of Korla after changes become effective means you accept the updated Terms.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles. Elite Business Operations LLC is registered and primarily operates in Virginia.

Any disputes related to these Terms or Korla should first be addressed by contacting us at legal@korla.co so we can attempt to resolve the issue informally within 30 days.

If informal resolution fails, any dispute not resolved through negotiation shall be subject to the exclusive jurisdiction of the state and federal courts located in Richmond, Virginia, unless binding arbitration is mutually agreed upon by both parties. You consent to personal jurisdiction in Richmond, Virginia for any such disputes.
